1. Acceptance of Terms

By accessing or using the Career Smithery website and related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is operated by KDP Labs LLC ("KDP Labs," "Company," "we," "us," or "our"). "Career Smithery" is the trade name used for the Service. References to "we" or "us" mean KDP Labs LLC and its affiliates, officers, directors, employees, contractors, and agents.

These Terms form a binding agreement between you and KDP Labs LLC. You represent that you have the legal capacity to enter this agreement and that all information you provide is accurate.

2. Service Description

Career Smithery provides AI-assisted career development tools, including:

• AI-powered resume building and optimization
• AI-generated cover letters tailored to specific job applications
• Career assessment tools and questionnaires
• AI-generated personalized career development reports
• AI-assisted content creation features (including social and professional publishing tools)
• Integrations that may allow you to publish content to third-party platforms (e.g., LinkedIn)
• AI-generated professional development recommendations and related resources

Important: Our resume building and career planning features leverage artificial intelligence (AI) technology to generate content. All AI-generated content is provided for informational purposes only and should be reviewed, verified, and customized by you before use.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your account credentials secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 16 years old to create an account. If you are under 18, you must have parental consent.

3.1. AI-Generated Content Disclaimer

Artificial Intelligence Technology: Our Service utilizes artificial intelligence (AI) technology, including machine learning algorithms and natural language processing, to generate resumes, cover letters, career assessments, and other content.

User Responsibility: You acknowledge and agree that:

• All AI-generated content is provided for informational and assistance purposes only
• You are solely responsible for reviewing, verifying, and validating all AI-generated content before use
• You must ensure the accuracy, completeness, and appropriateness of any content you use
• You are solely responsible for any misinformation, inaccuracies, or errors in content you submit or use
• AI-generated content may contain errors, biases, or inaccuracies that require human review and correction
• You should not rely solely on AI-generated content for important decisions without independent verification
• You are responsible for ensuring all content complies with applicable laws, regulations, and professional standards

No Guarantee of Accuracy: We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. AI technology is inherently probabilistic and may produce results that are incorrect, incomplete, or inappropriate for your specific situation.

Professional Advice: AI-generated content is not a substitute for professional career counseling, legal advice, or other professional services. You should consult with qualified professionals for important career decisions.

4. User Content and Third-Party Publishing

The Service may help you create, edit, store, or publish content ("User Content"), including text, images, carousels, posts, and other materials. User Content includes anything you input, generate, modify, download, or publish through the Service.

You are solely responsible for all User Content. KDP Labs LLC and Career Smithery do not control, endorse, verify, or adopt User Content. We are not the publisher, author, or distributor of User Content you create or publish, and we do not speak on your behalf.

By using the Service, you acknowledge and agree that:

• You are solely responsible for reviewing, approving, and deciding whether to use or publish any User Content
• You are solely responsible for the accuracy, legality, and appropriateness of User Content and for any consequences of publishing or sharing it
• You must ensure User Content complies with all applicable laws, regulations, platform rules, advertising standards, employment laws, and professional obligations
• You must have all rights, permissions, and consents necessary to create, use, and publish User Content (including images, trademarks, and personal data of others)
• Publishing to third-party platforms (including LinkedIn) is performed through your own accounts and at your sole direction; we only provide technical tools to assist you
• You must comply with the terms, policies, and community guidelines of any third-party platform where you publish User Content
• We do not guarantee that any third-party platform will accept, display, or maintain User Content, or that integrations will remain available
• We may suspend or terminate access if we reasonably believe User Content violates these Terms, applicable law, or third-party platform rules

No responsibility for published content. To the fullest extent permitted by law, KDP Labs LLC, Career Smithery, and our affiliates, officers, directors, employees, contractors, and agents are not responsible or liable for any User Content, including content you publish to LinkedIn or other platforms, whether generated with AI assistance or otherwise. This includes claims related to defamation, harassment, discrimination, privacy violations, intellectual property infringement, misleading statements, regulatory violations, account restrictions, loss of followers, loss of business, or reputational harm.

You grant KDP Labs LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and display User Content solely as needed to operate, secure, and improve the Service. You retain ownership of your User Content, subject to this license.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property, privacy, or publicity rights
• Publish false, misleading, deceptive, or defamatory content
• Transmit harmful, offensive, harassing, hateful, or inappropriate content
• Impersonate any person or entity, or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems or third-party accounts
• Interfere with the Service's operation or other users
• Use automated tools to access the Service except as we expressly permit
• Share account credentials with others or allow unauthorized use of connected third-party accounts
• Circumvent rate limits, credit systems, or security controls

6. Payment Terms

Some features of the Service require payment:

• All fees are non-refundable unless otherwise stated
• Prices may change with 30 days' notice
• Payment is processed securely through Stripe
• You authorize us to charge your payment method
• Failed payments may result in service suspension

Credits purchased are valid for 12 months from purchase date.

7. Intellectual Property

The Service and its content are protected by intellectual property laws:

• We retain all rights to the Service and its content
• You retain rights to your personal data and content
• You grant us license to use your content for service provision
• You may not copy, modify, or distribute our content

8. Privacy and Data

Your privacy is important to us:

• You control your personal information and can request deletion
• We implement appropriate security measures
• Data may be stored in multiple jurisdictions

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing:

• We do not guarantee the accuracy, completeness, or suitability of AI-generated output, assessments, resumes, cover letters, recommendations, or publishing tools
• AI-generated and user-edited content may contain errors, biases, or inaccuracies and must be independently reviewed by you
• Career outcomes depend on many factors beyond our control
• KDP Labs LLC and Career Smithery are not responsible for employment decisions, hiring outcomes, account actions on third-party platforms, or any consequences of User Content you publish
• The Service is not a substitute for professional career counseling, legal advice, tax advice, or other licensed professional services
• We do not guarantee uninterrupted, secure, or error-free operation of the Service or any integration
• We are not responsible for any losses, damages, or negative consequences arising from your use of, reliance on, or publication of content created through the Service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KDP LABS LLC, CAREER SMITHERY, OR ANY OF THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the above, we are not liable for:

• Any User Content you create, edit, publish, or distribute, including posts on LinkedIn or other platforms
• Actions taken by third-party platforms (including account warnings, restrictions, suspensions, or removals)
• Inaccurate, misleading, defamatory, infringing, or unlawful content
• Employment rejections, missed opportunities, or professional reputation harm
• Legal, regulatory, or compliance violations arising from your use or publication of content
• Data loss, service interruptions, integration failures, or unauthorized access not caused by our gross negligence

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations or exclusions; in those jurisdictions, our liability is limited to the maximum extent permitted by law. You assume all risks associated with your use of the Service and any content you publish.

11. Indemnification

You agree to defend, indemnify, and hold harmless KDP Labs LLC, Career Smithery, and their respective affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Any User Content you create, submit, publish, or distribute (including via LinkedIn or other platforms)
• Your violation of these Terms, applicable law, or third-party platform terms
• Your infringement or misappropriation of any intellectual property, privacy, or other rights
• Any dispute between you and a third party relating to User Content or your publications
• Any allegation that User Content caused harm to a person or entity

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense.

12. Termination

Either party may terminate this agreement:

• You may cancel your account at any time
• We may terminate for Terms violations or non-payment
• Upon termination, your access to the Service will cease
• We may retain data as required by law or for legitimate business purposes

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.

Except where prohibited by applicable law, you agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

If you are a consumer in the European Union, you may also have rights to bring proceedings in your country of residence under mandatory local law.

14. Release

To the fullest extent permitted by law, you release KDP Labs LLC, Career Smithery, and their affiliates, officers, directors, employees, contractors, and agents from any claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes you have with third parties (including social media platforms, employers, or other users) relating to User Content or your use of the Service.

15. Changes to Terms

We may update these Terms from time to time:

• Material changes will be notified via email or in-app notice
• Continued use after changes constitutes acceptance
• You may terminate if you disagree with changes
